Jonathan J. Wegner

Jonathan Wegner is a member of the Firm’s Business, Tax and Estate Planning section. He represents banks and other businesses with respect to regulatory compliance, mergers and acquisitions, securities law regulation and corporate governance matters.
Mr. Wegner received his law degree, summa cum laude, from Creighton University School of Law, where he co-founded and served as president of the Business Law Society and received sixteen CALI Excellence for the Future Awards. He graduated law school with a concentration in Business, Taxation, and Commercial Transactions. He received a fellowship to study British Literature at Oxford University and holds a Masters in Science of Journalism from Northwestern University as well as a Bachelor of Arts in English, summa cum laude, from Santa Clara University.
Prior to joining the firm, Mr. Wegner worked as a business reporter for the Omaha World-Herald and Consumer Reports.

Selected Practice Highlights
- Represented acquiring and acquired entities in all stages of mergers and acquisitions transactions, including preparation of letters of intent, negotiation of definitive agreements, filing of regulatory applications and closing the deal.
- Represented companies in structuring private offerings to raise capital in compliance with federal and state securities law exemptions.
- Represented borrowers and lenders on bank stock loans.
- Advised banks and bankers regarding regulatory enforcement actions, including MOUs, cease and desist orders, and prompt corrective action directives.
- Advised banks, card issuers, program managers and other businesses in preparation of regulatory compliance plans, marketing issues and handling of enforcement actions (including Dodd-Frank, SAFE Act, Regulations B, E, O, R, W, Y, Z, CC, DD, GG)
