Dennis J. Fogland is a member of the Corporate Section of the firm. He represents publicly held corporations in compliance with federal securities laws and Securities and Exchange Commission regulations, as well as broker-dealers and investment advisors in compliance with state and federal securities laws. He also has significant experience in assisting publicly and privately held companies in complying with state and federal securities laws in raising capital, proxy solicitations and mergers and acquisitions.
Mr. Fogland is a member of the American Bar Association and the Nebraska State Bar Association, for which he served as Chair of the Securities Law Section Executive Committee in 1994 and 1995. He is a frequent lecturer at seminars on securities law compliance, and public and private capital raising issues. Mr. Fogland is listed in The Best Lawyers in America® 2011 (copyright 2010 by Woodward/White, Inc., Aiken, SC) for his work in Corporate Governance and Compliance Law, Corporate Law, Mergers and Acquisitions, and Securities Law. He is also included on the 2009 Great Plains Super Lawyers list for his work in Corporate Governance & Compliance Law.

Representation of numerous corporations in structuring of mergers and acquisitions and negotiation of related purchase agreements, financing agreements and capital structure - Significant experience in representing clients in private placements of securities in exempt transactions under state and federal securities laws, including private offerings of equity, convertible debt and preferred stock
- Representing issuers in all aspects of public offerings of securities, including self-underwritten SEC-registered offerings in ethanol industry
