John S. Zeilinger is a member of the Business, Tax and Estate Planning Section of the firm. His practice includes banking, corporate and securities law, and mergers and acquisitions.
Mr. Zeilinger is a member of the Nebraska State Bar Association, for which he has served as a member of the House of Delegates, and as Chairman of its Committees on Specialization, Nebraska Securities Law, and Ways, Means and Planning. He is a member of the Iowa State Bar Association and its Corporate Counsel Section and the Omaha Bar Association. He has served on the Lawyers Council of The Bankers Roundtable, Washington, D.C., and its predecessor, the Association of Bank Holding Companies. Mr. Zeilinger is listed in Chambers USA, America's Leading Lawyers for Business (Chambers & Partners Publishing 2007-2008) for his financial institutions work, mergers and acquisitions, and securities law. He is also listed in The Best Lawyers in America 2009 and 2009 Great Plains Super Lawyers.
Mr. Zeilinger has made presentations at or chaired programs held by Baird Holm, the University of Nebraska College of Law, the Nebraska Department of Banking and Finance, NCLE, Inc., the Community Banking Institute and the Cambridge Institute.
Selected Practice Highlights
- Represented SEC-reporting and privately held clients and processed regulatory applications regarding bank and bank holding company mergers, acquisitions and sales, branch purchase and sale transactions, bank, thrift and CEBA credit card bank charters and conversions, holding company formations, failed bank acquisitions and interstate charter transactions to obtain branching rights
- Represented corporate issuers in public and private capital raising, including debt, equity and venture capital and perpetual preferred stock
- Advised issuers or lenders on more than 25 issuances of trust preferred securities totaling more than $250 million
- Prepared and reviewed Securities Exchange Act periodic reports and proxy statements
- Advised clients on public disclosure issues, insider reports, proxy contests and tender offers
Advised companies on reverse stock splits to avoid becoming subject to SEC reporting or to qualify for S corporation taxation election - Counseled clients on securities law aspects of ESOPs, stock options and other employee stock plans
- Represented borrowers and lenders on bank stock loans and subordinated capital notes
- Advised banks and bankers regarding regulatory enforcement actions, including cease and desist orders and civil money penalties
- Appeared at hearings before state bank regulators in five states
