Sue A. Minton is a paralegal in the Financial Transactions and Real Estate Sections. She works independently and closely with attorneys in handling complex commercial and financial transactions such as acquisitions, dispositions, 1031 exchanges, joint ventures, loans, refinances, developments, and subdivisions.
Minton also assists attorneys with contract review and negotiations; works closely with and coordinates closing activities with sellers, buyers, lenders, title companies, surveyors, municipalities, counties, state and federal governments, etc.; coordinates and creates title and survey orders and reports; collects and prepares due diligence documents, reviews and summaries; performs and prepares title and survey reviews, comment and objection letters; identifies and resolves title and survey issues and conducts other title clearance activities; reviews and research CCR’s, surveys, title and documents of record; orders, organizes and prepares UCC searches and UCC result charts.
In addition, Minton analyzes contracts and creates and maintains detailed critical dates and closing checklists; drafts transactional documents, closing statements, agreements, assignments, addendums, certifications, escrow agreements, escrow instructions, and terminations. She works on petitions for division/consolidation; monitors closing activities and attends closings; examines, identifies and resolves corporate operational issues; drafts, coordinates and monitor lender consents and estoppels; drafts and files all documents necessary to form, qualify and/or amend corporations, limited partnerships and limited liability companies in all states; prepares/drafts operating agreements, bylaws, stock certificates, organizational/structure charts and various authorizing resolutions by directors/officers/managers/members for corporate activities.
