- Represented founder of internet marketing company in sale of stock interest to venture capital fund;
- Represented real estate investment fund in $10 million private offering of limited partnership interests;
- Advised public pension fund in connection with venture capital, private equity and SBIC investments;
- Assisted ESOP-owned wholesale distributor in $20 million asset sale;
- Advised multinational, public corporation in connection with Sarbanes-Oxley and Dodd-Frank compliance;
- Assisted clients in conducting internal investigation related to corporate governance and securities law issues and in responding to SEC and IRS examinations;
- Represented agricultural equipment manufacturer in equity fund investments to raise growth capital and series of strategic, light industrial acquisitions;
- Represented Nebraska manufacturer in $50 million sale to strategic partner in a cash and stock merger transaction;
- Represented purchaser in $30 million acquisition of vehicle dealership; and
- Represented distribution company in a $12 million cash sale to a strategic buyer.
