What You Need to Know about Nebraska’s New Model Business Corporation Act

This session will review the changes taking effect January 1, 2017, as a result of Nebraska’s adoption of the Nebraska Model Business Corporation Act. It will cover the key changes from the state’s current Business Corporation Act and includes practical legal considerations for both existing corporations and newly formed entities.

Doing Good Isn’t Always Easy: An Overview of Charitable Solicitation and Commercial Co-Venturer Laws

While joint fundraising for or promotion of a nonprofit organization may bring great intrinsic value to your company’s brand while advancing the greater good, such ventures often are subject to charitable solicitation and commercial co-venturer laws that can be a trap for the unwary. The presence of a fundraising or cause-marketing campaign on the internet may implicate laws in all fifty states. This program will provide an overview of these laws to help you identify legal problem areas in cause-marketing campaigns, and includes practical tips to help in-house counsel evaluate compliance risks before joining such a campaign.

This session will survey recent case law, bar opinions and other current developments on legal ethics topics of interest to in-house counsel, including attorney-client privilege, conflicts of Interest, confidentiality and other fiduciary duties, unauthorized practice of law, use of social media, and workplace discrimination.
