Steve J. Koo is an experienced corporate and tax advisor specializing in providing counsel to private equity and strategic multinational clients. He has extensive experience in corporate restructuring, mergers and acquisition (M&A) transactions, and regulatory compliance. He has a deep understanding of general corporate matters, business reorganizations, federal and state tax planning, cross-border transactions, entity formation and classification, and regulatory compliance.
Steve holds a Juris Doctor (J.D.) from Fordham University School of Law and is a Certified Public Accountant (CPA). His experience includes serving as tax counsel in a multinational publicly-traded company and in M&A practices in Big 4 global accounting firms, prior to joining Baird Holm.

- Developing and executing internal restructuring plans and negotiating $2B+ divestiture of a company’s pan-European infrastructure business
- Conducting buy side and vendor tax due diligence in private equity and strategic transactions including evaluating financial statements, federal and state tax returns, income tax provisions, uncertain tax positions, transfer pricing and other supporting transactional documentation
- Advising on global direct and indirect tax compliance, tax planning, audit defense and tax provision processes with respect to legal entities in multiple US and non-US jurisdictions
- Submitting IRS private letter rulings involving tax-free reorganizations
- Executing Sarbanes-Oxley 404 internal control testing and documentation for financial reporting purposes
