Baird Holm’s 2025 Corporate Counsel & Ethics Forum is a value-added, educational offering for clients and invited guests that provides practical insights and information about the complex rules and regulations faced by in-house counsel, business owners, and executives. Continuing education credit will be offered for the program, including one hour of ethics credit.

This Forum will be offered in-person and via Zoom.

Rapid AI adoption, cybersecurity concerns, and the ongoing demand for digital transformation are reshaping companies’ technology priorities. Sometimes the technology doesn’t deliver on its promise, but what was the actual promise? It’s in the agreement, right? Technology agreements are some of the most critical agreements your organization will enter into and getting good financial terms on their own is not enough. In this session intellectual property partners Gray Derrick and AriAnna Goldstein will discuss some of the most important clauses in technology agreements, from acceptance testing when the technology is implemented to end of product life support, and what types of clauses will protect your organization the most through all stages of your agreements.

While some successful in house counsel go many years without having to manage litigation, like death and taxes, inevitably disputes will arise – is your company prepared? In this session, business litigators Lindsay Lundholm and Brian Barmettler will offer practical guidance to help you address third party subpoenas, depositions of your personnel, corporate investigations, and litigation management strategies. The session will also provide practical guidance on dispute resolution clauses in contracts and how they will impact your client in the event of a dispute.

 Morgan L. Kreiser
In this session, employee benefits partner Morgan Kreiser will summarize the basic requirements of ERISA’s strict fiduciary duties and outline best practices for compliance. Morgan will also discuss the recent avalanche of fiduciary litigation and how it is shaping DOL audits and broader employer risks.

Jesse D. Sitz & Hannah Fischer Frey
Tax partners Jesse Sitz and Hannah Fischer Frey will provide an overview of relevant federal income tax updates affecting businesses proposed or implemented in 2025, including the One Big Beautiful Bill Act.  This session will also include a summary of pertinent Nebraska and Iowa tax updates.
